WASHINGTON, D.C. – Today, the Consumer Financial Protection Bureau (CFPB) ordered TD Bank to pay $7.76 million to tens of thousands of victims of the bank’s illegal actions. For years, the bank repeatedly shared inaccurate, negative information about its customers to consumer reporting companies. 「令和５事務年度 開示検査事例集」の公表について 証券取引等監視委員会は、「令和５事務年度 開示検査事例集（ PDF）」を取りまとめましたので、公表します。 「開示検査事例集」は、適正な情報開示に向けた市場関係者の自主的な取組みを促す観点から、証券取引等監視委員会による開示検査の最近の取組みや開示検査によって判明した開示規制違反の内容、その背景・原因及び是正策等の概要を取りまとめたもので、毎年公表しています。 今般公表しました「令和５事務年度 開示検査事例集」では、令和４事務年度版に、令和５年７月から本年６月までの間に開示検査を終了し、開示規制違反について課徴金納付命令勧告を行った事例等を追加しました。追加した内容では、大量保有報告制度違反や特定関与行為に対する課徴金納付命令勧告を行った事例等、特徴的な開示規制違反事例についても積極的に紹介しています。また、事例集に掲載されている「監視委コラム」では、開示実務において参考にしていただけるよう、特徴的な勧告事例に関連した内容や、開示検査を通じてクローズアップされた開示制度や内部統制報告制度について最近の制度改正を踏まえた解説をしています。 この「開示検査事例集」を通じて、上場会社、会計監査人や投資者等の皆さんに、開示規制違反の手法、背景・原因等や証券取引等監視委員会の取組みについてご理解いただいた上で、上場会社とその会計監査人である公認会計士・監査法人とのコミュニケーションや上場会社とその投資者等の皆さんとの対話を活発に行っていただくことによって、適正な情報開示が積極的に行われることを期待しています。 英文による紹介
