Prospectus (Insurance Companies and Insurance Holding Companies) Regulations

The Prospectus (Insurance Companies and Insurance Holding Companies) Regulations, made under the Insurance Companies Act, are a set of regulations that govern the disclosure of information required prior to a distribution of securities by insurance companies and holding companies. The regulations require that all relevant information be disclosed in a prospectus and follow the procedures for disclosure as outlined in the relevant provincial legislation.

The Regulations also exempt certain individuals or entities from complying with prospectus requirements, provided they are subject to an exemption under another legislation or have received an order from a provincial securities regulator. Additionally, the Regulations repeal certain provisions that were previously in force.

The regulations come into effect on the day of registration and apply to insurance companies and holding companies in each of the provinces listed in the schedule, including Ontario, Quebec, Nova Scotia, New Brunswick, Manitoba, British Columbia, Prince Edward Island, Saskatchewan, Alberta, Newfoundland and Labrador, Yukon, Northwest Territories, and Nunavut.
