Canada Foundation for Sustainable Development Technology Act

This section outlines the organizational structure and governance of the Foundation.

• Board of Directors: The board consists of 11 directors, appointed by the Governor in Council on the Minister's recommendation. The Chairperson is also appointed by the Governor in Council.
• Director Eligibility: A person cannot be a director if they are a member of Parliament, an employee or agent of Her Majesty in right of Canada or a province, do not ordinarily reside in Canada, or are disqualified under the Canada Business Corporations Act.
• Terms of Office: Directors are appointed to hold office during good behaviour for terms not exceeding five years. They may be removed for cause by the Governor in Council.
• Director Representation and Experience: The appointment of directors must consider the need for a board that is representative of various regions of Canada, includes men and women who can contribute to the Foundation's objectives, and has sufficient knowledge of technologies promoting sustainable development.
• Remuneration and Expenses: Directors may be paid remuneration fixed by the Foundation's by-laws and are entitled to reasonable travel and living expenses incurred while performing their duties.
