Brief

Summary:

The Superintendu00eancia-Geral do Conselho Administrativo de Defesa Econu00f4mica (SG/Cade) has referred a concentration operation to the Tribunal Administrativo for analysis. The operation involves the purchase of Trevo Industrial's drywall manufacturing plant by Knauf do Brasil. The SG/Cade has concluded that the merger would represent a high concentration level, exceeding prudent limits, and may lead to a coordinated market. Factors contributing to this conclusion include the homogenization of the product, symmetrical technological production, and lack of historical price rivalry or differentiation. The SG/Cade also notes that the market has only four suppliers, including Knauf and Trevo, and there has been no entry of new competitors in recent years. Therefore, the SG/Cade has opted to impugn the concentration and the case will be distributed to a councilor for further analysis and eventual judgment.

Summary

The Superintendu00eancia-Geral do Conselho Administrativo de Defesa Econu00f4mica (SG/Cade) has sent a document related to the analysis of the Tribunal Administrativo regarding the operation between Knauf do Brasil and Trevo Industrial de Acartonados, where Knauf will acquire Trevo’s drywall manufacturing plant.

The drywall product is a type of wallboard or panel produced through an industrial process using gypsum, aggregates, water, additives, and paper faced on both sides. In Brazil, the use of drywall is increasing in the construction industry, particularly in commercial buildings, due to its faster construction and flexibility in reconfiguring spaces and maintenance of ducts and fixtures.

After concluding the operation, the SG/Cade observed that the national drywall market has only four suppliers, including Knauf and Trevo, with no new entrants in the last years. This concentration represents a significant increase in the market, exceeding the limits established by the Cade guidelines and antitrust legislation. The analysis also found that importation is not frequent and therefore, it is not a source of competition in case of price increase by Knauf after the acquisition of Trevo’s plant.

Other factors contributing to potential market coordination include the homogeneity of the product, symmetric technological productivity, and the absence of historical rivalry in prices, quality, or differentiation. As the SG/Cade has not identified sufficient entry conditions, rivalry, or efficiencies to alleviate competitive concerns, or remedies to address the concerns raised during the analysis, it decided to impugn the transaction. The case will now be distributed to a councilor responsible for conducting the case, which will later be taken to collegial judgment.
